Effective for all Members upon registration or continued use of the roomsHatch Platform.

Section 37 of these Terms contains an arbitration agreement and class action waiver that apply to all claims brought against roomsHatch in the United States. Please read them carefully.

The documents referred to within these Terms include but are not limited to our: Privacy Policy (roomshatch.com/privacy), Service Fees Policy, Offline Fee Policy, Off-Platform Policy, Taxes Policy, Host Privacy Standards, Cancellation Policies, Major Disruptive Events Policy, Rebooking and Refund Policy, Resolution Center Terms, Host Damage Protection Terms, Reviews Policy, Community Policies, Content Policy, and Nondiscrimination Policy. These supplemental policies are incorporated by reference and form part of the binding legal agreement between you and roomsHatch.

These Terms of Service (“Terms”) are a binding legal agreement between you and DownFare, Inc., doing business as roomsHatch (“roomsHatch,” “we,” “us,” or “our”) that govern your right to use the roomsHatch website, mobile applications, and all related services (collectively, the “roomsHatch Platform” or “Platform”).

The roomsHatch Platform enables users (“Members”) to publish, offer, search for, and book accommodations and related services. Members who publish and offer accommodations are “Hosts” and Members who search for, book, or use accommodations are “Renters.” Hosts offer rooms, apartments, homes, shared spaces, lofts, and other accommodations (collectively, “Host Services,” and each Host Service offering, a “Listing”).

As the provider of the roomsHatch Platform, DownFare, Inc. (and its affiliates) does not own, control, offer, or manage any Listings or Host Services. roomsHatch is not a party to the contracts entered into directly between Hosts and Renters, nor is roomsHatch a real estate broker, property manager, landlord, travel agency, or insurer. roomsHatch is not acting as an agent in any capacity for any Member, except that roomsHatch Payments acts as a payment collection agent as described in these Terms.

By accessing or using the roomsHatch Platform, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform. We recommend that you save or print a copy of these Terms for your records.

Part I — Renter Terms

1. Searching & Booking on roomsHatch

1.1 Searching

You can search for Listings by using criteria like the type of accommodation, destination, travel dates, number of guests, budget, and amenities. You can also use filters to refine your search results. Search results are based on their relevance to your search and other criteria. Relevance considers factors like price, availability, reviews, customer service and cancellation history, popularity, previous trips and saved Listings, Host requirements (e.g., minimum or maximum nights), and more.

1.2 Booking

When you book a Listing, you are agreeing to pay all charges for your booking including the Listing price, applicable fees like roomsHatch’s service fee, offline fees (where permitted), taxes, and any other items identified during checkout (collectively, “Total Price”). If you choose to pay using a currency that differs from the currency set by the Host for their Listing, the price displayed to you is based on a currency conversion rate determined by our payment processing partners. You are also agreeing that roomsHatch may charge the payment method used to book the Listing in order to collect Damage Report amounts (as defined in Section 23).

When you receive the booking confirmation, a contract for Host Services (a “Reservation”) is formed directly between you and the Host. By making a Reservation you are agreeing to the terms of the contract. The terms of the contract include these Terms, all terms of the Reservation, including without limitation the cancellation policy and any other rules, standards, policies, or requirements identified in the Listing or during checkout that apply to the Reservation. It is your responsibility to read and understand these terms of the contract prior to booking a Listing.

1.3 Accommodation Reservations

An Accommodation Reservation is a limited license to enter, occupy, and use the accommodation. The Host retains the right to re-enter the accommodation during your stay, to the extent: (i) it is reasonably necessary, (ii) permitted by your contract with the Host, and (iii) permitted by applicable law. If you stay past checkout, the Host has the right to make you leave in a manner permitted by applicable law, including by imposing reasonable overstay penalties. You may not exceed the maximum number of allowed guests.

1.4 Currency

roomsHatch is a global marketplace and supports payments in a wide range of currencies. Hosts set their Listing prices in their preferred local currency. Renters may view and pay for Reservations in their own local currency where supported. Supported currencies include, but are not limited to: USD, CAD, AED, EUR, GBP, AUD, JPY, CHF, SGD, ZAR, INR, BRL, MXN, NGN, KES, UGX, GHS, TZS, RWF, EGP, TRY, THB, PHP, MYR, IDR, KRW, NZD, SEK, NOK, DKK, PLN, RON, CZK, HUF, CNY, HKD, COP, CLP, ARS, and PEN, among others. Currency conversion rates are determined by our payment processing partners at the time of the transaction. roomsHatch does not control exchange rates. In certain jurisdictions, local regulations may restrict cross-border payments or the use of specific currencies.

2. Cancellations, Reservation Issues, Refunds & Booking Modifications

This Section applies to you as a Renter. It explains what happens when you cancel a Reservation, when you may receive a refund, and when other policies may override the Host’s cancellation policy. For Host-side cancellation rules (including what happens when a Host cancels on you), see Section 9.

2.1 Cancellations & Refunds — General Rule

In general, if you cancel a Reservation, the amount refunded to you is determined by the Host’s cancellation policy that applies to that Reservation. The Host’s cancellation policy is displayed on the Listing page before you book and is also included in your booking confirmation. It is your responsibility to review the applicable cancellation policy before making a Reservation.

2.2 How Cancellation Policies Work

Each Host selects a cancellation policy for their Listing. roomsHatch offers Hosts a range of standard cancellation policies for short-term stays (under 28 nights), including Flexible, Moderate, Limited, and Firm options, as well as a Non-Refundable rate option. A separate Long-Term policy applies automatically to stays of 28 nights or more. Full details of each cancellation policy — including the specific deadlines, refund percentages, and what the Host is paid — are published on our Cancellation Policies page (roomshatch.com/cancellation-policies). The key principles are:

• The earlier you cancel before check-in, the more you are refunded.

• If you cancel after check-in, the Host is generally paid for nights you stayed, and your refund (if any) depends on the policy the Host selected.

• The Host’s cancellation policy determines both your refund and the Host’s payout.

• All cancellation deadlines are calculated based on the Listing’s local check-in time.

• You can check your estimated refund amount before you complete a cancellation on the roomsHatch Platform.

2.3 24-Hour Grace Period

All standard cancellation policies for short-term stays (under 28 nights) include a mandatory 24-hour grace period. If you cancel within 24 hours after your Reservation is confirmed, you will receive a full refund including all taxes and fees, provided the Reservation was confirmed at least 7 days before check-in (based on the Listing’s local time). This grace period applies regardless of which cancellation policy the Host has selected, and Hosts cannot opt out. If the Reservation was confirmed fewer than 7 days before check-in, the grace period does not apply and the Host’s cancellation policy is in effect immediately from the time of booking. Certain non-refundable hotel Listings may be exempt from this grace period.

2.4 Non-Refundable Bookings

Some Hosts offer a non-refundable rate alongside their standard cancellation policy. If you choose the non-refundable rate, you book at a discounted price (typically approximately 10% off the base price) in exchange for giving up your right to a refund if you cancel after the 24-hour grace period (if applicable). The non-refundable option and the standard refundable rate are presented side by side at checkout so you can choose the option that best fits your plans. If you cancel a non-refundable booking, the Host retains the full payout.

2.5 Long-Term Stays (28 nights or more)

A Long-Term cancellation policy applies automatically to all Reservations of 28 or more consecutive nights. Under this policy: if you cancel at least 30 days before check-in, you receive a full refund; if you cancel less than 30 days before check-in, the first 30 nights (or first month’s payment) are non-refundable; and if you cancel after check-in, you must provide 30 days’ written notice through the Platform, and charges continue through the notice period. 2.6 When Other Policies Override the Host’s Cancellation Policy

In certain situations, other roomsHatch policies take precedence over the Host’s cancellation policy and may entitle you to a different refund. These situations include:

If the Host cancels:

If a Host cancels your Reservation before check-in, you will automatically receive a full refund. roomsHatch will also assist you with finding and booking comparable accommodations to the best of our ability. If we are unable to find comparable accommodations or if you choose not to rebook, you keep the full refund.

If you experience a Reservation Issue:

A “Reservation Issue” means any of the following problems with your stay:

• The Host fails to provide access to the accommodation (e.g., lockout, wrong address, no-show by the Host).

• The Host fails to disclose that the Host, another person, or a pet will be present during the stay.

• The accommodation is not habitable at check-in: not reasonably clean and sanitary (including bedding and towels), contains safety or health hazards, or contains pests.

• The Listing contains material inaccuracies: the wrong property type (e.g., you booked an entire home but arrive to a shared room), the wrong number of rooms (bedrooms, bathrooms, kitchens), the wrong location, or special amenities or features that were advertised but are missing or non-functional.

If you experience a Reservation Issue, you may be eligible for rebooking assistance or a partial or full refund under our Rebooking and Refund Policy (roomshatch.com/rebooking-policy). You must report the issue through the Resolution Center within 72 hours of discovery. Claims must be supported by relevant evidence such as photographs, video, or written confirmation of conditions by the Host. roomsHatch will evaluate the available evidence and, in most circumstances, will first attempt to confirm your claim with the Host. Full refunds are generally available for major issues that cause you to vacate within the first 24 hours of your stay. Partial refunds may be available if the issue is less serious or if you choose to remain in the accommodation.

If a Major Disruptive Event occurs:

If unforeseen events beyond your control make it impractical or illegal to complete your Reservation, you may be eligible for a partial or full refund under our Major Disruptive Events Policy (roomshatch.com/major-disruptive-events). Covered events include: declared natural disasters (earthquakes, hurricanes, floods, wildfires), pandemics or epidemics declared by a recognized health authority, government-imposed travel restrictions or bans, armed conflict or civil unrest in the destination region, and essential utility failures at the Listing (water, electricity, sewage) lasting more than 24 hours that render the property uninhabitable. Events NOT covered include: foreseeable weather events, personal illness (unless a pandemic declaration applies), flight cancellations or delays, jury duty, changes in personal circumstances, or failure to obtain required travel documents.

If roomsHatch cancels under Section 21:

If roomsHatch cancels a Reservation due to a Terms violation or other reason permitted under Section 21, the refund amount will be determined by roomsHatch on a case-by-case basis.

2.7 How Refunds Are Processed

Refunds are processed in the currency of the original payment and returned to the original payment method. Timing varies by payment method and financial institution; credit card refunds typically take 5–10 business days, while bank transfers may take up to 15 business days. Any currency conversion applied to a refund uses the exchange rate at the time of processing, which may differ from the original transaction rate. Bank charges or foreign exchange margins are the responsibility of the bank and will not be reimbursed by roomsHatch. If you have only paid for part of your stay (e.g., through a Pay Later option), your refund will never exceed what you have actually paid.

“Full refund” means the price set by the Host for the Listing, including applicable taxes collected by roomsHatch. roomsHatch service fees are refunded if you cancel during the free cancellation period for your Reservation. Service fees are not refunded for cancellations made after the Listing’s local check-in time on the scheduled date of check-in. roomsHatch will refund any taxes it collects that are related to refunded amounts, and will submit any taxes due on the non-refundable portion of canceled Reservations to the appropriate tax authority.

2.8 Making a Cancellation Official

A Reservation is only officially canceled once you have followed the cancellation steps on the roomsHatch Platform and received a cancellation confirmation. You can find the cancellation page in your Trips section on the roomsHatch website and app. roomsHatch has final say in any dispute between Hosts and Renters regarding the application of cancellation policies.

2.9 Booking Modifications

Renters and Hosts are responsible for any booking modifications they agree to make via the roomsHatch Platform or direct roomsHatch customer service to make on their behalf (“Booking Modifications”), and agree to pay any additional amounts, fees, or taxes associated with any Booking Modification. If a Booking Modification changes the total price, the new price and any applicable fee adjustments will be presented for approval before the modification is confirmed. Modifications cannot be used to circumvent the Host’s cancellation policy.

2.10 Appeals

You may appeal a refund or rebooking decision by roomsHatch by contacting our customer service within 30 days of the decision. Appeals will be reviewed and a determination made within 14 business days. roomsHatch’s decisions under these policies are binding but do not affect other contractual or statutory rights that may be available. Any right that Renters or Hosts may have to initiate legal action remains unaffected. These policies are not insurance and no premium has been paid by any Renter or Host. All rights and obligations under these policies are personal to the booking Renter and Host and may not be transferred or assigned.

3. Your Responsibilities & Assumption of Risk

3.1 Your Responsibilities

You are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you invite to join or provide access to any accommodation, all areas and facilities where the accommodation is located that the Host and Renter are legally entitled to use in connection with the accommodation (“Common Areas”), or any other Host Service. For example, this means: (i) you are responsible for leaving an accommodation (and related personal property) or Common Areas in the condition it was in when you arrived, (ii) you are responsible for paying all reasonable Damage Report amounts, and (iii) you must act with integrity, treat others with respect, and comply with applicable laws at all times.

If you book a Host Service on behalf of additional guests, you are required to ensure that every additional guest meets any requirements set by the Host, and is made aware of and agrees to these Terms and any rules and restrictions set by the Host. If you are booking for an additional guest who is a minor or if you bring a minor to a Host Service, you must be legally authorized to act on behalf of the minor and you are solely responsible for the supervision of that minor.

3.2 Your Assumption of Risk

YOU ACKNOWLEDGE THAT MANY ACTIVITIES CARRY INHERENT RISKS AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU ASSUME THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE ROOMSHATCH PLATFORM AND ANY CONTENT, INCLUDING YOUR STAY AT ANY ACCOMMODATION, OR ANY OTHER INTERACTION YOU HAVE WITH OTHER MEMBERS WHETHER IN PERSON OR ONLINE. THIS MEANS IT IS YOUR RESPONSIBILITY TO INVESTIGATE A HOST SERVICE TO DETERMINE WHETHER IT IS SUITABLE FOR YOU. HOST SERVICES MAY CARRY RISK OF ILLNESS, BODILY INJURY, DISABILITY, OR DEATH, AND YOU FREELY AND WILLFULLY ASSUME THOSE RISKS BY CHOOSING TO USE THOSE HOST SERVICES.

3.3 Travel Insurance

roomsHatch strongly recommends that Renters obtain appropriate travel insurance to cover trip cancellations, medical emergencies, personal liability, and loss of personal belongings. roomsHatch does not provide travel insurance and is not liable for losses that would have been covered by such insurance.

4. International Travel & Advisories

4.1 Travel Warnings

If you are booking a Listing in a country other than your country of residence, you are responsible for reviewing any travel warnings, advisories, or restrictions issued by your government and the government of the destination country before you book and before you travel. You should monitor travel advisories during your stay and before your return journey.

4.2 Passports, Visas & Entry Requirements

You are solely responsible for ensuring that you hold a valid passport and any required visas, permits, or travel authorizations. Requirements may change at any time. roomsHatch is not liable if you are denied entry into any country due to your failure to hold correct documentation.

4.3 Health & Vaccinations

You should consult your doctor regarding recommended or required vaccinations for your destination. roomsHatch does not provide medical advice.

Part II — Host Terms

5. Hosting on roomsHatch

5.1 Host

As a Host, roomsHatch offers you the right to use the Platform in accordance with these Terms to share your accommodation with our community of Renters — and earn money doing it. It’s easy to create a Listing and you are in control of how you host: set your price, availability, and rules for each Listing.

5.2 Contracting with Renters

When you accept a booking request or receive a booking confirmation through the roomsHatch Platform, you are entering into a contract directly with the Renter, and are responsible for delivering the Host Service under the terms and at the price specified in your Listing. You are also agreeing to pay applicable fees like roomsHatch’s service fee for each booking. roomsHatch Payments will deduct amounts you owe from your payout unless we and you agree to a different method. Any terms or conditions that you include in any supplemental contract with Renters must: (i) be consistent with these Terms, our policies, and the information provided in your Listing, and (ii) be prominently disclosed in your Listing description.

5.3 Independence of Hosts

Your relationship with roomsHatch is that of an independent individual or entity and not an employee, agent, joint venturer, or partner of roomsHatch, except that roomsHatch Payments acts as a payment collection agent as described in these Terms. roomsHatch does not direct or control your Host Service, and you understand that you have complete discretion whether and when to provide Host Services, and at what price and on what terms to offer them.

6. Managing Your Listing

6.1 Creating & Managing Your Listing

The roomsHatch Platform provides tools that make it easy for you to set up and manage a Listing. Your Listing must include complete and accurate information about your Host Service, your price (including any additional charges), and any rules or requirements that apply to your Renters or Listing. You are responsible for keeping your Listing information (including calendar availability) and content (like photos) up-to-date and accurate at all times. You may only maintain one Listing per accommodation, but may have multiple Listings for a single property if it has multiple places to stay. You may display up to fifty (50) photos per Listing.

6.2 Know Your Legal Obligations

You are responsible for understanding and complying with any laws, rules, regulations, and contracts with third parties that apply to your Listing or Host Services. For example: Some landlords and leases, or homeowner and condominium association rules, restrict or prohibit subletting, short-term rentals, and/or longer-term stays. Some cities have zoning or other laws that restrict the short-term rental of residential properties. Some jurisdictions require Hosts to register, get a permit, or obtain a license before providing Host Services. In some places, the Host Services you want to offer may be prohibited altogether. Some jurisdictions require that you register Renters who stay at your accommodation. Some jurisdictions have laws that create tenancy rights for Renters and additional obligations for Hosts. For example, some places have landlord-tenant, rent control, and eviction laws that may apply to longer stays. Check your local rules to learn what rules apply. Information we provide regarding legal requirements is for informational purposes only and you should independently confirm your obligations. You are responsible for handling and using personal data of Renters in compliance with applicable privacy laws and these Terms, including our Host Privacy Standards. If you have questions about how local laws apply you should always seek legal advice.

6.3 Search Ranking Transparency

The ranking of Listings in search results on the roomsHatch Platform depends on a variety of factors, including: Renter search parameters (e.g., number of guests, destination, dates, price range); Listing characteristics (e.g., price, calendar availability, number and quality of images, reviews, Host status, length of time live on the Platform, engagement and popularity); Renter experience (e.g., customer service and cancellation history of the Host, ease of booking); Host and Listing requirements (e.g., minimum or maximum nights, booking cut-off time); and Renter preferences and history (e.g., previous trips, saved Listings, search location). Search results may differ between our mobile application and website. roomsHatch may allow Hosts to promote their Listings by paying an additional fee.

6.4 Your Responsibilities

You are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you allow to participate in providing your Host Services. You must describe any and all additional fees and charges in your Listing description. You must ensure that all mandatory fees and charges are included in your price breakdown. You may not collect any fees or charges outside the roomsHatch Platform except as expressly authorized by our Offline Fee Policy. Do not encourage Renters to create third-party accounts, submit reviews, provide their contact information, or take other actions outside the roomsHatch Platform in violation of our Off-Platform Policy.

6.5 Hosting as a Team or Organization

If you work with a co-host or host as part of a team, business, or other organization, you are responsible and liable as a Host under these Terms for the acts and omissions of each entity and individual who participates in providing your Host Services. If you accept terms or enter into contracts with third parties, you represent and warrant that you are authorized to enter into contracts for and bind your team, business, or other organization, and that each entity you use is in good standing under the laws of the place where it is established. If you instruct roomsHatch to transfer a portion of your payout to a co-host or other Hosts, or send payments to someone else, you must be authorized to do so, and are responsible and liable for the payment amounts and accuracy of any payout information you provide.

6.6 Host Assumption of Risk

YOU ACKNOWLEDGE THAT HOSTING CARRIES INHERENT RISKS AND AGREE THAT YOU ASSUME THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE ROOMSHATCH PLATFORM, OFFERING HOST SERVICES, OR ANY INTERACTION YOU HAVE WITH OTHER MEMBERS WHETHER IN PERSON OR ONLINE. YOU AGREE THAT YOU HAVE HAD THE OPPORTUNITY TO INVESTIGATE THE ROOMSHATCH PLATFORM AND ANY LAWS, RULES, REGULATIONS, OR OBLIGATIONS THAT MAY BE APPLICABLE TO YOUR LISTINGS OR HOST SERVICES AND THAT YOU ARE NOT RELYING UPON ANY STATEMENT OF LAW MADE BY ROOMSHATCH.

7. House Rules

7.1 Setting House Rules

Hosts may set house rules for each Listing. roomsHatch provides standard rule categories that Hosts must address:

• Pets: Whether pets are permitted, and any restrictions on type, size, or number.

• Smoking: Whether smoking is permitted on the property.

• Events & Parties: Whether events, parties, or gatherings are allowed.

• Quiet Hours: Any designated quiet hours or noise restrictions.

• Maximum Guests: The maximum number of guests allowed.

• Minimum Check-in Age: The minimum age required for the primary Renter.

7.2 Enforcement & Limitations

House rules are binding on Renters once they confirm a Reservation. However, house rules may not contradict applicable national, state, or local laws, and may not be discriminatory in any manner prohibited by our Nondiscrimination Policy or applicable law.

8. Safety & Property Standards

8.1 Minimum Safety Requirements

All Hosts must ensure their property meets applicable building codes and safety requirements. At a minimum:

• Working smoke detectors on each level and in or near sleeping areas.

• A working carbon monoxide detector if the property has fuel-burning appliances, a fireplace, or an attached garage.

• At least one fire extinguisher accessible to Renters.

• Emergency exit plan or instructions clearly posted.

• First aid kit available on the premises.

8.2 Pool & Hot Tub Safety

If a Listing includes a pool, hot tub, or water feature, the Host must ensure compliance with all local pool safety regulations, including fencing, safety covers, and signage.

8.3 Weapons Disclosure

If there are any weapons on the property, they must be securely stored and disclosed in the House Rules section. Failure to disclose may result in Listing removal.

8.4 Emergency Contact Information

Hosts must provide Renters with local emergency contact information, including emergency services numbers, the Host’s contact details, and the address of the nearest hospital or medical facility.

9. Host Cancellations, Reservation Issues & Booking Modifications

9.1 Host Cancellation Policy

Renters look forward to their stays, and as a Host, you should not cancel on a Renter without a valid reason under our Major Disruptive Events Policy or applicable law. If you cancel without such a valid reason, you may experience the following consequences:

Cancellation Fees

roomsHatch will charge a cancellation fee on your next payout(s) based on the amount of the Reservation and how far in advance you cancel. Fees start at USD $50 and may increase up to USD $1,000 (or local currency equivalent), calculated as a percentage of the total Reservation cost (including nightly rate and cleaning fee, but excluding taxes and Renter service fees). Last-minute cancellations (within 24 hours of check-in or after check-in) incur higher fees.

Calendar Block

Your booking calendar may be blocked for the dates of the original Reservation, preventing you from accepting a new booking for those dates. This prevents Hosts from canceling to rebook at a higher rate.

Renter Review

If you cancel on the day of arrival or later, Renters who have been affected may still be eligible to leave a review on your Listing.

Search Visibility & Quality Programs

Host-initiated cancellations negatively affect your search ranking and may result in loss of quality program eligibility. Hosts who cancel three (3) or more Reservations in a 12-month period may have their Listing or account suspended or deactivated and will lose any quality badges. For Hosts seeking quality program status, candidacy may be delayed for one year from the date of the most recent cancellation.

Account Suspension

Repeated or egregious cancellations may result in account suspension or permanent termination.

9.2 Host Responsibility for Cancellation

A Host may be deemed responsible for a cancellation even when the Renter technically initiates it, if the cancellation occurs because of conditions that are grossly and materially different from how the Listing was described at the time of booking. Examples include: double-booking a Listing, substituting another property for the one originally booked, or gross Listing inaccuracies that materially disrupt a Renter’s stay (such as advertising a pool when none is available). In these cases, the Host will be subject to the fees and other consequences described above.

Hosts must never ask or induce a Renter to initiate a cancellation to circumvent Host cancellation fees or consequences. If roomsHatch determines that a Host promised a refund to induce a Renter to cancel, the Host may be held responsible for the cancellation, required to provide the stated refund, and subject to penalties.

9.3 Valid Reasons for Host Cancellation

roomsHatch will waive the fees and consequences when a Host cancels for a valid, documented reason beyond the Host’s control, including: serious illness or injury that prevents hosting (with supporting documentation); material property damage that makes the property unsafe or uninhabitable (e.g., fire, flood, structural failure); government-ordered evacuation; or a qualifying event under our Major Disruptive Events Policy. Hosts must submit documentation to roomsHatch Support for review. Even when fees are waived, roomsHatch may still block the calendar for the affected dates to prevent rebookings.

9.4 Instant Book Cancellations

Hosts who use Instant Book may cancel a limited number of Reservations per year without penalty if they indicate a specific concern about Renter behavior (e.g., suspected intent to violate house rules or capacity limits). roomsHatch will attempt to find a replacement booking for those dates. This exception is limited and subject to roomsHatch’s review.

9.5 Effect of Host Cancellation on Payouts

If a Host cancels a Reservation, the Renter will automatically receive a full refund. If: (i) a Renter experiences a Reservation Issue, (ii) a Major Disruptive Event arises, or (iii) a Reservation is canceled under Section 21, the amount the Host is paid will be reduced by the amount roomsHatch refunds or otherwise provides to the Renter, and by any other reasonable costs roomsHatch incurs. If a Renter receives a refund after the Host has already been paid, or the refund and costs exceed the Host’s payout, roomsHatch may recover that amount from the Host, including by deducting the amount against future payouts. roomsHatch’s Rebooking and Refund Policy, Major Disruptive Events Policy, and these Terms preempt the cancellation policy the Host set in situations where they allow for cancellation and/or issuance of refunds. If roomsHatch reasonably expects to provide a refund to a Renter under one of these policies, it may delay release of any payout for that Reservation until a refund decision is made.

9.6 Booking Modifications

Hosts and Renters are responsible for any Booking Modifications they agree to make via the Platform or direct roomsHatch customer service to make on their behalf, and agree to pay any additional amounts, fees, or taxes associated with a Booking Modification.

10. Property Transfer & Change of Ownership

If a property listed on roomsHatch is sold, transferred, or otherwise changes ownership or management, the existing Host must:

• Block the calendar for all dates following the transfer date.

• Notify all Renters with confirmed Reservations extending beyond the transfer date.

• Ensure all confirmed Reservations are honored by the incoming owner/manager, or arrange a full refund through the Resolution Center.

The incoming owner or manager must create a new roomsHatch account and complete all required verification. Listing history, reviews, and Host status are not transferable.

11. Taxes

11.1 Host Taxes

As a Host, you are responsible for determining and fulfilling your obligations under applicable laws to report, collect, remit, or include in your price any applicable VAT or other indirect taxes, occupancy taxes, tourist taxes, income taxes, or other taxes (“Taxes”).

11.2 Collection & Remittance by roomsHatch

In jurisdictions where roomsHatch facilitates the collection and/or remittance of Taxes on behalf of Hosts, you instruct and authorize roomsHatch to collect Taxes on your behalf, and/or to remit such Taxes to the relevant tax authority. Any Taxes collected and/or remitted by roomsHatch are identified to Members on their transaction records. roomsHatch may seek additional amounts from Members (including by deducting such amounts from future payouts) when the Taxes collected and/or remitted are insufficient to fully discharge that Member’s tax obligations, and you agree that your sole remedy for Taxes collected by roomsHatch is a refund from the applicable tax authority. We retain the right, with prior notice to affected Members, to cease the collection and remittance of Taxes in any jurisdiction for any reason.

11.3 Tax Information

In certain jurisdictions, tax regulations may require that we collect and/or report tax information about you, or withhold Taxes from payouts to you, or both. If you fail to provide us with documentation that we determine to be sufficient to support any such obligation to withhold Taxes from payouts to you, we may withhold payouts up to the amount as required by law, until sufficient documentation is provided. You agree that roomsHatch may issue on your behalf invoices or similar documentation for VAT, GST, consumption, or other Taxes for your Host Services to facilitate accurate tax reporting.

11.4 Tax Indemnification & Cooperation

You expressly agree to defend, indemnify, and hold roomsHatch harmless from and against any claims, liabilities, damages, losses, and expenses arising out of or related to Taxes, including the applicability, calculation, collection, reporting, or remittance thereof. You agree to cooperate with roomsHatch in good faith to meet your, roomsHatch’s, or shared compliance obligations.

12. Host Insurance

12.1 Your Insurance Obligations

You agree to obtain and maintain at your expense primary insurance covering your liability and the liability of any of your employees or agents working with you or on your behalf for third-party bodily injury and property damage arising from a Renter’s stay at your accommodation during a Reservation.

You agree to cooperate with roomsHatch and our third-party insurance partners to verify all insurance you are required to maintain, including promptly providing proof of such insurance upon request. If any insurance you are required to maintain lapses or is cancelled, you agree to notify roomsHatch immediately.

12.2 Host Liability Insurance Program

While roomsHatch maintains a Host Liability Insurance program (“HLI Program”), you agree to cooperate with us and our third-party insurance partners in the event of a claim under the HLI Program. This includes timely and accurately providing information, assisting in claim investigation, and complying with reasonable requests. When required, you agree to promptly notify the insurer on any insurance policies you maintain of any incident giving rise to third-party bodily injury or property damage arising from a Renter’s stay. The HLI Program is not a substitute for personal insurance and is subject to separate terms, conditions, exclusions, and limits as published at roomshatch.com/host-protection.

13. Hotels & Professional Hospitality Partners

13.1 Scope

In addition to individual Hosts, roomsHatch welcomes hotels, boutique hotels, apart-hotels, serviced apartments, hostels, bed & breakfasts, guest houses, and other professional hospitality operators (collectively, “Professional Hospitality Partners” or “Partners”). All other provisions of these Terms apply equally unless expressly modified by this section.

13.2 Eligibility & Onboarding

To list as a Professional Hospitality Partner, you must operate a legally registered hospitality business, hold all required licenses and permits, complete roomsHatch’s Partner verification process, and designate an authorized account administrator.

13.3 Listing Standards

Partners are held to enhanced listing standards including accurate room types and star classification, professional photography, real-time availability via PMS or Channel Manager, and full fee disclosure.

13.4 Multi-Room & Bulk Inventory

Partners may list multiple room types under a single property profile. roomsHatch may provide API integration with third-party PMS, Channel Managers, and CRS. Partners connected via API or PMS are responsible for data accuracy and timeliness.

13.5 Partner Fees

Service fee structures for Partners may differ from individual Hosts and may include negotiated commission rates, preferred listing placement, or host-only fee models. The applicable fee structure is disclosed during onboarding or in a separate commercial agreement. roomsHatch reserves the right to modify Partner fee structures with at least 30 days’ prior written notice.

13.6 Cancellation & Incidentals

Partners may set their own cancellation policies, including non-refundable rates and custom cancellation windows by room type, season, or rate plan. Partners may collect security deposits or incidental charges at check-in, provided they are clearly disclosed in the Listing and at checkout, and deposits are refunded within 14 days of checkout minus verified charges. All policies must comply with applicable consumer protection laws.

13.7 Relationship

roomsHatch acts solely as a technology marketplace. The relationship between roomsHatch and a Partner is that of independent parties. Reservations create a direct contract between the Partner and Renter.

Part III — General Terms

14. Reviews

14.1 Leaving Reviews

After each completed stay, both Renters and Hosts will have an opportunity to review each other. Reviews must be submitted within 14 days following checkout. Reviews are published simultaneously after both parties have submitted their reviews, or after 14 days (whichever comes first), to ensure fairness and prevent retaliation.

14.2 Review Standards

Your review must be accurate, honest, and based on your personal experience. Reviews may not contain any discriminatory, offensive, defamatory, threatening, or other language that violates these Terms, applicable law, or our Content Policy or Reviews Policy. Reviews must not include: personal attacks or insults directed at a Member; content that is unrelated to the actual stay or experience; spam, advertising, or promotional material; content intended to manipulate search rankings or deceive other Members; or information that violates another Member’s privacy (such as full names, phone numbers, email addresses, or photographs taken without consent).

14.3 Review Accuracy Disclaimer

Reviews are not verified by roomsHatch for accuracy and may be incorrect or misleading. Any references to a Member being “verified” or having earned a quality badge do not constitute endorsement by roomsHatch.

14.4 Review Responses & Removal

Members may post a public response to a review they have received. roomsHatch reserves the right to remove reviews that violate our policies, but is not obligated to do so. If you believe a review violates our policies, you may report it through our Help Center. Removal decisions are at roomsHatch’s sole discretion.

14.5 Star Ratings

Renters may rate their stay on an overall scale and on individual categories such as cleanliness, accuracy, communication, location, check-in, and value. These ratings contribute to the Host’s overall score, which may affect search ranking, quality program eligibility, and Listing visibility.

15. Content

15.1 Content License

Parts of the roomsHatch Platform enable you to provide, share, or communicate feedback, text, photos, audio, video, information, and other content (“Content”). By providing Content, in whatever form and through whatever means, you grant DownFare, Inc. a non-exclusive, worldwide, royalty-free, perpetual, sub-licensable, and transferable license to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit such Content to provide and/or promote the roomsHatch Platform, in any media or platform, known or unknown to date and in particular on Internet and social networks. If Content includes personal information, such Content will only be used for these purposes if such use complies with applicable data protection laws in accordance with our Privacy Policy. Where roomsHatch (including its affiliates) pays for the creation of Content or facilitates its creation, roomsHatch (including its affiliates) may own that Content, in which case supplemental terms or disclosures will say that.

15.2 Your Responsibility for Content

You are solely responsible for all Content that you provide and warrant that you either own it or are authorized to grant roomsHatch the rights described in these Terms. You represent and warrant that you have all necessary rights, permissions, and consents to provide such Content, including the consent of any individuals appearing in photographs or videos. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party.

15.3 Content Standards

Content must comply with our Content Policy and Nondiscrimination Policy, which prohibit, among other things, discriminatory, obscene, harassing, deceptive, violent, and illegal content. roomsHatch may, but is not obligated to, monitor, review, or edit Content. roomsHatch may remove or disable access to any Content that it determines, in its sole discretion, violates these Terms or our policies, is illegal, harmful, or objectionable, or is otherwise detrimental to the Platform or its Members.

15.4 AI-Generated & Translated Content

You agree that roomsHatch may make available services or automated tools to generate or translate Content and that you may use these services, interact with generated Content, or have your Content translated using such services or tools. roomsHatch does not guarantee the accuracy or quality of generated Content or translations and Members are responsible for confirming the accuracy of generated Content and translations before relying on them.

15.5 Platform Content

Content made available through the roomsHatch Platform, including without limitation trademarks, trade dress, algorithms, computer programs, customer and marketing information, and other content (“Platform Content”), whether registered or unregistered, may be protected by copyright, trademark, patent, trade secrets, and/or other laws. You acknowledge that all intellectual property rights for Platform Content are the exclusive property of DownFare, Inc. and/or its licensors and agree that you will not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices. You may not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast, or otherwise exploit any Platform Content except to the extent you are the legal owner of that Content or as expressly permitted in these Terms. Subject to your compliance with these Terms, roomsHatch grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to (i) download and use the roomsHatch mobile application on your personal device(s); and (ii) access and view the Platform Content made available on or through the Platform and accessible to you, solely for your personal and non-commercial use.

16. Fees

16.1 Service Fees

roomsHatch may charge fees (and applicable Taxes) to Hosts and Renters for the right to use the roomsHatch Platform. More information about when service fees apply and how they are calculated can be found on our Service Fees page (roomshatch.com/service-fees). Any applicable fees are disclosed to Hosts before publishing a Listing and to Renters before making a booking.

16.2 Fee Refundability

Except as otherwise provided on the roomsHatch Platform, service fees are non-refundable. Service fees are refunded if you cancel during the free cancellation period for your Reservation. Service fees are not refunded for cancellations made after the Listing’s local check-in time on the scheduled date of check-in.

16.3 Fee Changes

roomsHatch reserves the right to change the service fees at any time, and will provide Members notice of any fee changes at least 30 days before they become effective. Fee changes will not affect bookings made prior to the effective date of the fee change. If you disagree with a fee change you may terminate this agreement at any time pursuant to Section 21.

16.4 Subscription Listing Plans

roomsHatch may also offer optional subscription-based listing plans for Hosts who prefer a fixed annual fee in lieu of per-booking service fees. Subscription plans include: automatic renewal unless cancelled at least 30 days before the renewal date; non-refundable subscription fees once the Listing has been published (except as required by applicable law); and any special introductory discounts or promotions, which may not apply to renewal terms. Details of current subscription plan options and pricing are available on our Pricing page.

16.5 Offline Fees

Hosts may not collect any fees or charges outside the roomsHatch Platform except as expressly authorized by our Offline Fee Policy (roomshatch.com/offline-fees). Where permitted, offline fees must be clearly disclosed in the Listing description and during the checkout process. Examples of permitted offline fees may include: resort fees or amenity charges mandated by the property; key deposit fees; or government-mandated tourism levies not collected by the Platform.

16.6 Currency & Payment Processing

Fees are charged in the currency of the Renter’s original payment. Currency conversion costs and foreign exchange margins applied by banks or payment processors are the responsibility of the Member and are not controlled or reimbursed by roomsHatch.

17. Platform Rules

17.1 Rules

You must follow these rules and must not help or induce others to break or circumvent these rules.

Act with integrity and treat others with respect

• Do not lie, misrepresent something or someone, or pretend to be someone else.

• Be polite and respectful when you communicate or interact with others.

• Do not attempt to evade enforcement of these Terms or our policies, such as by creating a duplicate account or Listings after being terminated.

• Follow our Nondiscrimination Policy and do not discriminate against or harass others.

Do not scrape, hack, or misuse the roomsHatch Platform

• Do not use bots, crawlers, scrapers, or other automated means to access or collect data or other content from or otherwise interact with the roomsHatch Platform.

• Do not hack, avoid, remove, impair, or otherwise attempt to circumvent any security or technological measure used to protect the roomsHatch Platform or Content.

• Do not decipher, decompile, disassemble, or reverse engineer any of the software or hardware used to provide the roomsHatch Platform.

• Do not take any action that could damage or adversely affect the performance or proper functioning of the roomsHatch Platform.

Only use the roomsHatch Platform as authorized by these Terms

• You may only use another Member’s personal information as necessary to facilitate a transaction using the roomsHatch Platform as authorized by these Terms.

• Do not use the roomsHatch Platform, our messaging tools, or Members’ personal information to send commercial messages without their express consent.

• You may use Content made available through the roomsHatch Platform solely as necessary to enable your use of the Platform as a Renter or Host.

• Do not use Content unless you have permission from the Content owner or the use is authorized by us in these Terms.

• Do not request, make, or accept a booking or any payment outside of the roomsHatch Platform to avoid paying fees, taxes, or for any other reason. See our Offline Fee Policy for exceptions.

• Do not require or encourage Renters to open an account, leave a review, complete a survey, or otherwise interact with a third-party website, application, or service before, during, or after a Reservation, unless authorized by roomsHatch.

• Do not engage in any practices that are intended to manipulate our search algorithm.

• Do not book Host Services unless you, or an authorized Renter, are actually using the Host Services.

• Do not use, copy, display, mirror, or frame the roomsHatch Platform, any Content, any roomsHatch branding, or any page layout or design without our consent.

Honor your legal obligations

• Understand and follow the laws that apply to you, including privacy, data protection, and export laws.

• If you provide us with someone else’s personal information, you: (i) must do so in compliance with applicable law, (ii) must be authorized to do so, and (iii) authorize us to process that information under our Privacy Policy.

• Read and follow our Terms, policies, and standards.

• Do not organize or facilitate unauthorized parties or events. You are responsible and liable for any party or event during your Reservation that violates our rules for parties and events.

• Do not use the name, logo, branding, or trademarks of roomsHatch or others without permission.

• Do not use or register any domain name, social media handle, trade name, trademark, branding, logo, or other source identifier that is confusingly similar to any roomsHatch trademarks, logos, or branding.

• Do not offer Host Services that violate the laws or agreements that apply to you.

• Do not offer or solicit prostitution or participate in or facilitate human trafficking.

Respect other Members and roomsHatch

• Do not discriminate against any person based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or age.

• Do not harass, threaten, stalk, or abuse other Members.

• Do not use a Listing for purposes other than those described by the Host.

• Do not post or transmit content containing URLs, phone numbers, email addresses, or physical addresses intended to redirect bookings away from the Platform.

17.2 Reporting Violations

If you believe that a Member, Listing, or Content poses an imminent risk of harm to a person or property, you should immediately contact local authorities before contacting roomsHatch. In addition, if you believe that a Member, Listing, or Content has violated our standards, you should report your concerns to roomsHatch through the Help Center. If you reported an issue to local authorities, roomsHatch may request a copy of that report. Except as required by law, roomsHatch is not obligated to take action in response to any report.

17.3 Copyright Notifications

If you believe that Content on the roomsHatch Platform infringes copyrights, please notify us in accordance with Section 29 (Copyright & Trademark Complaints).

18. Accessibility & Service Animals

18.1 Service Animals

Hosts with properties located in jurisdictions with applicable disability accommodation laws must accommodate Renters who require the use of a service animal. Service animals are not considered pets, and pet restrictions in house rules do not apply to service animals.

18.2 Accessibility Information

Hosts are encouraged to provide accurate accessibility information in their Listings, including wheelchair access, step-free entry, accessible bathrooms, and other features.

18.3 Nondiscrimination

Hosts may not decline a Reservation or impose different terms based on a Renter’s disability or need for a service animal, except where required by legitimate safety concerns that cannot be reasonably accommodated.

19. Communication Policies

19.1 On-Platform Communication

All communication between Hosts and Renters regarding a Listing or Reservation must take place through the roomsHatch Platform messaging system. roomsHatch may use automated systems, including artificial intelligence, to monitor messages for compliance with these Terms.

19.2 Check-In Instructions

Hosts must provide check-in instructions and access details at least 24 hours before check-in. Failure to do so may result in penalties or automatic refund eligibility for the Renter.

19.3 Response Times

Hosts are expected to respond to reservation requests and Renter inquiries within 24 hours. Consistent non-responsiveness may result in reduced search ranking, loss of quality badges, or account suspension.

20. Booking on Behalf of Others

If you make a Reservation on behalf of another person, you are responsible for ensuring that the person(s) who will occupy the Listing are aware of and agree to these Terms, the Listing’s house rules, and any applicable cancellation policy. You remain fully responsible for the Reservation, including payment, compliance with house rules, and any damage caused. Businesses, travel agencies, or corporate travel managers booking on behalf of employees or clients must accept these Terms on their own behalf and ensure that the occupying individuals comply with all applicable rules.

21. Termination, Suspension & Other Measures

21.1 Term

The agreement between you and roomsHatch reflected by these Terms is effective when you access the roomsHatch Platform (for example, to create an account) and remains in effect until either you or we terminate the agreement in accordance with these Terms.

21.2 Termination by You

You may terminate this agreement at any time by sending us an email or by deleting your account. If you are a Host and terminate your account, any confirmed Reservation(s) will be automatically canceled and your Renters will receive a full refund. If you terminate your account as a Renter, any confirmed Reservation(s) will be automatically canceled and any refund will depend upon the terms of the Listing’s cancellation policy.

21.3 Termination by roomsHatch

roomsHatch may terminate this agreement and your account for any reason by providing you 30 days’ notice via email or using any other contact information you have provided. roomsHatch may also terminate this agreement immediately and without notice and stop providing access to the Platform if: (i) you breach these Terms or our policies; (ii) you violate applicable laws; (iii) such action is necessary to protect the personal safety or property of roomsHatch, its Members, or third parties (for example, in the case of fraudulent behavior); or (iv) your account has been inactive for more than two years.

roomsHatch reserves the right to change our services, including to add or remove features and functionalities or change the types of Listings we accept or allow on the Platform, including but not limited to: improving or updating our services, preventing abuse, or responding to legal requirements.

21.4 Member Violations

If (i) you breach these Terms, our policies, or our standards, (ii) you violate applicable laws, regulations, or third-party rights, (iii) you have repeatedly received poor reviews or roomsHatch otherwise becomes aware of or has received complaints about your performance or conduct, (iv) you have repeatedly canceled confirmed bookings or failed to respond to booking requests without a valid reason, or (v) such action is reasonably necessary to protect the personal safety or property of roomsHatch, its Members, or third parties, roomsHatch may, with or without prior notice:

• Suspend or limit your access to or use of the roomsHatch Platform and/or your account.

• Suspend, remove, disable access to, or restrict visibility of Listings, reviews, or other Content.

• Cancel pending or confirmed bookings.

• Suspend or revoke any special status or badges associated with your account.

For minor violations or where otherwise appropriate, you will be given notice of any intended measure by roomsHatch and an opportunity to resolve the issue before action is taken.

21.5 Legal Mandates

roomsHatch may take any action it determines is reasonably necessary to comply with applicable law, or the order or request of a court, law enforcement, or other administrative agency or governmental body, including the measures described above in Section 21.4.

21.6 Effect of Termination

When this agreement has been terminated, you are not entitled to a restoration of your account or any of your Content. If your access to or use of the roomsHatch Platform has been limited, or your account has been suspended, or this agreement has been terminated by us, you may not register a new account or access or use the Platform through an account of another Member.

21.7 Survival

Parts of these Terms that by their nature survive termination will survive termination of this agreement. Without limitation, the following survive: Sections 1 through 39, including all provisions relating to content licenses, fees, indemnification, limitation of liability, dispute resolution, and any other provisions that by their nature should survive.

21.8 Appeals

If roomsHatch takes any of the measures described in this Section, you may appeal such a decision by contacting our customer service. If a Reservation is canceled under this Section, the amount paid to the Host will be reduced by the amount we refund or otherwise provide to the Renter, and by any other costs we incur as a result of the cancellation.

22. Modification of These Terms

roomsHatch may modify these Terms at any time. When we make material changes, we will post the revised Terms on the Platform and update the “Last Updated” date at the top. We will also provide you with notice of any material changes by email or through the Platform at least 30 days before they become effective. If you disagree with the revised Terms, you may terminate this agreement immediately. If you do not terminate your agreement before the date the revised Terms become effective, your continued access to or use of the Platform will constitute acceptance of the revised Terms.

23. Resolving Complaints & Damage Reports

23.1 What Is a Damage Report

If a Host provides valid evidence that you, your guest(s), or your pet(s) have directly caused any of the following, the Host may submit a Damage Report:

• (i) Physical loss or physical damage to the Host’s (or property owner’s) real or personal property, or real or personal property the Host is responsible for or has an economic interest in.

• (ii) Loss of booking income for bookings via the roomsHatch Platform or other consequential damages which result directly from the damage caused under (i) above.

• (iii) Cleaning costs incurred by the Host in excess of the Host’s stated cleaning fee.

23.2 Submitting a Damage Report

The Host may notify roomsHatch and/or seek compensation through the Resolution Center (roomshatch.com/resolution-center). Damage Reports must be submitted within 14 days of the Renter’s checkout or before the next Renter checks in, whichever is earlier. The Host must provide supporting evidence, which may include photographs, video, receipts, invoices, third-party expert assessments, or other appropriate documentation.

23.3 Renter’s Right to Respond

You will be notified of the Damage Report and given a reasonable opportunity to respond and provide any relevant counter-evidence. If you agree to pay, you authorize roomsHatch via roomsHatch Payments to collect the amount of the Damage Report from you.

23.4 Escalation & roomsHatch Determination

If you and the Host cannot resolve the Damage Report, or you fail to respond or pay, the Host may escalate the matter to roomsHatch through the Resolution Center under the terms of the Host Damage Protection Terms (roomshatch.com/host-protection). roomsHatch will review the Damage Report, ask the Host to provide any required evidence, and give you an opportunity to respond. If roomsHatch determines, under consideration of the evidence provided and applicable statutory rules on the burden of proof, that you are responsible for the Damage Report, roomsHatch (via roomsHatch Payments) will pay out the Damage Report to the Host.

23.5 Collection from Renter

If roomsHatch pays out a Damage Report to the Host, roomsHatch may collect the amount from you, including by charging the payment method used to make the Reservation, up to a maximum of USD $500 per charge. For amounts exceeding this maximum, roomsHatch may pursue additional collection, including by deducting from future payouts (if you are also a Host), referral of the matter to a collections agency, and/or pursuit of available causes of action and/or claims against you under applicable law. You agree that roomsHatch may seek to recover from you under any insurance policies you maintain.

23.6 Cooperation

You agree to cooperate in good faith, provide any information roomsHatch requests, execute documents, and take further reasonable action, in connection with Damage Reports, Member complaints, claims under insurance policies, or other claims related to your provision or use of Host Services.

23.7 Effect on Legal Rights

Any decisions made by roomsHatch in relation to a Damage Report do not affect your contractual or statutory rights. Your right to take legal action before a court of law remains unaffected.

24. roomsHatch’s Role

We offer you the right to use a platform that enables Members to publish, offer, search for, and book Host Services. While we work hard to ensure our Members have great experiences using roomsHatch, we do not and cannot control the conduct of Renters and Hosts. You acknowledge that roomsHatch (or its affiliates) has the right, but does not have any obligation, to monitor the use of the roomsHatch Platform and verify information provided by our Members.

When Members make or accept a booking, they are entering into a contract directly with each other. roomsHatch is not and does not become a party to or other participant in any contractual relationship between Members. roomsHatch is not acting as an agent for any Member except for where roomsHatch Payments acts as a collection agent as provided in these Terms.

roomsHatch does not own, create, sell, resell, provide, control, manage, offer, deliver, or supply any Host Services, and is not responsible for any Host Services. roomsHatch does not guarantee: (a) the existence, quality, safety, suitability, or legality of any Listing or Host Service; (b) the truth or accuracy of any Listing description, review, or other Content; (c) the performance or conduct of any Member or third party; or (d) that verification, identity, or background checks conducted on Listings or Members (if any) will identify past misconduct or prevent future misconduct. Any references to a Member or Listing being “verified” (or similar language) indicate only that the Member or Listing or roomsHatch has completed a relevant verification or identification process and nothing else.

For example, roomsHatch may record, review, monitor, disable access to, remove, or edit text or in-app messages, phone recordings, or other Content to: (i) operate, secure, and improve the roomsHatch Platform (including for fraud prevention, risk assessment, investigation, and customer support purposes); (ii) ensure Members’ compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement, or other administrative agency or governmental body; (iv) address Content that we determine is harmful or objectionable; (v) take actions set out in these Terms; and (vi) maintain and enforce any quality or eligibility criteria, including by removing Listings that don’t meet quality and eligibility criteria.

Members acknowledge and agree that roomsHatch administers its policies (such as our Major Disruptive Events Policy, Rebooking and Refund Policy) and standards (such as quality program requirements), including decisions about whether and how to apply them to a particular situation, at its sole discretion. Members agree to cooperate with and assist roomsHatch in good faith, and to provide roomsHatch with such information and take such actions as may be reasonably requested by roomsHatch with respect to any investigation undertaken by roomsHatch regarding the use or abuse of the Platform.

roomsHatch uses recommendation systems to rank and present Listings to Members. Members can learn about the main parameters for search ranking in Section 6.3 of these Terms and on our Help Center.

25. Member Accounts

25.1 Registration

Registration is only permitted for legal entities, partnerships, and natural persons who are 18 years or older. You represent and warrant that you are not a person or entity barred from using the roomsHatch Platform under the laws of the United States, your place of residence, or any other applicable jurisdiction. You must provide accurate, current, and complete information during registration and keep your account information up-to-date.

25.2 Account Rules

You may not register more than one account or transfer your account to someone else. You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose your credentials to any third party. You are responsible for all activity that occurs under your account, whether or not you authorized it.

26. Verification & Identity Screening

26.1 Identity Verification

roomsHatch may require Members to provide identity verification, including government-issued identification, phone number verification, email verification, or other documentation. You will provide complete, accurate, and up-to-date information throughout the term of your account.

26.2 Consent to Background Screening (United States)

To the extent permitted by applicable laws, if you are a Member in the United States, you authorize roomsHatch and its affiliates, and third parties designated by roomsHatch, to obtain reports from public records of criminal convictions or sex offender registrations. You agree that the information obtained may be used to make determinations about your eligibility to use the Platform. roomsHatch does not guarantee the identity, background, or conduct of any Member.

26.3 Listing Verification

roomsHatch may, but is not obligated to, verify Listing information. A “verified” designation indicates that the Host has completed certain verification steps, but does not constitute a guarantee or endorsement by roomsHatch.

27. roomsHatch Quality Programs

roomsHatch may offer quality recognition programs (such as “Superhost” badges) to Hosts who consistently meet high standards, including maintaining a high overall rating, achieving a minimum number of stays, maintaining a low cancellation rate, and maintaining a high response rate. Badge holders may receive enhanced search visibility, priority support, and exclusive promotions. Hosts are automatically evaluated and may have badges removed if standards are not met. roomsHatch reserves the right to modify program criteria at any time with reasonable notice.

28. Marketplace Standards & Penalties

All Members must adhere to roomsHatch’s Marketplace Standards. Violations may result in escalating penalties including: warning notice; temporary listing demotion or removal from search results; removal of ability to receive inquiries or Reservations; financial penalties including forfeiture of payouts; temporary account suspension; or permanent account termination without refund. Members who receive a penalty may appeal by contacting roomsHatch Support within 30 days.

29. Copyright & Trademark Complaints (DMCA)

If you believe your copyrighted work is being infringed on the roomsHatch Platform, you may submit a written notice under the Digital Millennium Copyright Act (DMCA) or equivalent applicable law to: legal@roomshatch.com. Your notice must include: a description of the copyrighted work; a description of where the infringing material is located; your contact information; a good faith belief statement; a statement under penalty of perjury that the information is accurate; and your physical or electronic signature. Counter-notices and trademark complaints should also be directed to legal@roomshatch.com.

30. Software & App License

Subject to your compliance with these Terms, roomsHatch grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and any applications solely for your personal or business use as contemplated by these Terms. You may not: (a) copy, modify, distribute, sell, or lease any part of the Platform; (b) reverse engineer, decompile, or disassemble the software; (c) use the Platform to build a competing product or service; or (d) use automated tools except through officially supported APIs. roomsHatch may release updates from time to time and may automatically update software on your device.

31. Third-Party Services & Links

The roomsHatch Platform may integrate with or contain links to third-party services, including mapping services, translation tools, payment processors, and analytics providers. These services are subject to their own terms and privacy policies. roomsHatch does not control, endorse, or guarantee the accuracy or availability of any third-party service. Your use of third-party services is entirely at your own risk.

32. Electronic Communications Consent

By creating an account, you consent to receiving electronic communications from roomsHatch, including reservation confirmations, payment receipts, policy updates, marketing communications (which you may opt out of), and push notifications (which you may disable). You agree that all notices, agreements, and other communications provided electronically satisfy any legal requirement that such communications be in writing. Email to the address associated with your account constitutes valid legal notice.

33. Disclaimer of Warranties

THE ROOMSHATCH PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND AND ROOMSHATCH (AND ITS AFFILIATES) DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED. FOR EXAMPLE: (I) WE DO NOT ENDORSE OR WARRANT THE EXISTENCE, CONDUCT, PERFORMANCE, SAFETY, QUALITY, LEGALITY OR SUITABILITY OF ANY RENTER, HOST, HOST SERVICE, LISTING, OR THIRD PARTY; (II) WE DO NOT WARRANT THE PERFORMANCE OR NON-INTERRUPTION OF THE ROOMSHATCH PLATFORM; AND (III) WE DO NOT WARRANT THAT VERIFICATION, IDENTITY, OR BACKGROUND CHECKS CONDUCTED ON LISTINGS OR MEMBERS (IF ANY) WILL IDENTIFY PAST MISCONDUCT OR PREVENT FUTURE MISCONDUCT. ANY REFERENCES TO A MEMBER OR LISTING BEING “VERIFIED” (OR SIMILAR LANGUAGE) INDICATE ONLY THAT THE MEMBER OR LISTING OR ROOMSHATCH HAS COMPLETED A RELEVANT VERIFICATION OR IDENTIFICATION PROCESS AND NOTHING ELSE. THE DISCLAIMERS IN THESE TERMS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW. IF YOU HAVE STATUTORY RIGHTS OR WARRANTIES ROOMSHATCH CANNOT DISCLAIM, THE DURATION OF ANY SUCH STATUTORILY REQUIRED RIGHTS OR WARRANTIES WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

34. Limitations on Liability

NEITHER ROOMSHATCH (INCLUDING ITS PARENT COMPANY DOWNFARE, INC., ITS AFFILIATES, AND THEIR PERSONNEL) NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE ROOMSHATCH PLATFORM OR ANY CONTENT WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA OR LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES, OR FOR ANY DAMAGES FOR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS ARISING OUT OF OR IN CONNECTION WITH (I) THESE TERMS, (II) THE USE OF OR INABILITY TO USE THE ROOMSHATCH PLATFORM OR ANY CONTENT, (III) ANY COMMUNICATIONS, INTERACTIONS, OR MEETINGS YOU MAY HAVE WITH SOMEONE YOU INTERACT OR MEET WITH THROUGH, OR AS A RESULT OF, YOUR USE OF THE ROOMSHATCH PLATFORM, OR (IV) PUBLISHING OR BOOKING OF A LISTING, INCLUDING THE PROVISION OR USE OF HOST SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ROOMSHATCH HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET OUT IN THESE TERMS IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

EXCEPT FOR ROOMSHATCH’S OBLIGATION TO TRANSMIT PAYMENTS TO HOSTS UNDER THESE TERMS, OR MAKE PAYMENTS UNDER THE HOST DAMAGE PROTECTION, IN NO EVENT WILL ROOMSHATCH’S AGGREGATE LIABILITY FOR ANY CLAIM OR DISPUTE ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, YOUR INTERACTION WITH ANY MEMBERS, OR YOUR USE OF OR INABILITY TO USE THE PLATFORM, ANY CONTENT, OR ANY HOST SERVICE, EXCEED: (A) TO RENTERS, THE AMOUNT YOU PAID AS A RENTER DURING THE 12-MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, (B) TO HOSTS, THE AMOUNT PAID TO YOU AS A HOST IN THE 12-MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR (C) TO ANYONE ELSE, ONE HUNDRED US DOLLARS (USD $100).

THESE LIMITATIONS OF LIABILITY AND DAMAGES ARE FUNDAMENTAL ELEMENTS OF THE AGREEMENT BETWEEN YOU AND ROOMSHATCH. IF APPLICABLE LAW DOES NOT ALLOW THE LIMITATIONS OF LIABILITY SET OUT IN THESE TERMS, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

35. Indemnification

You agree to release, defend, indemnify, and hold harmless DownFare, Inc. (d/b/a roomsHatch), its affiliates, subsidiaries, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal and accounting fees) arising from or related to: (a) your use of the Platform; (b) your Content; (c) your interaction with any Member; (d) your breach of these Terms; (e) your violation of applicable laws; or (f) your tax obligations. You will cooperate as fully as reasonably required in the defense of any claim. roomsHatch reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree not to settle any matter without our written consent.

36. Governing Law & Venue

36.1 United States

For Members residing in the United States: These Terms are governed by the laws of the State of Delaware and the State of New York, without regard to conflict-of-law principles. Unless submitted to arbitration as set forth in Section 37, all claims arising out of these Terms shall be resolved exclusively in the federal or state courts in Wilmington, Delaware, or New York, New York, and you and roomsHatch consent to personal jurisdiction in those courts.

36.2 Canada

For Members residing in Canada: These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

36.3 United Arab Emirates

For Members residing in the United Arab Emirates: These Terms are governed by the laws of the Dubai International Financial Centre (DIFC).

36.4 Brazil

For Members residing in Brazil: These Terms are interpreted in accordance with the laws of Brazil, without regard to conflict-of-law provisions. Legal proceedings may only be brought in the courts of your domicile.

36.5 Rest of World

For all other Members: These Terms are governed by the laws of the State of Delaware and the State of New York, USA, without regard to conflict-of-law principles.

37. Dispute Resolution & Arbitration Agreement

PLEASE READ THE FOLLOWING PARAGRAPHS CAREFULLY BECAUSE THEY PROVIDE THAT YOU AND ROOMSHATCH AGREE TO RESOLVE ALL DISPUTES BETWEEN US THROUGH BINDING INDIVIDUAL ARBITRATION AND INCLUDE A CLASS ACTION WAIVER AND JURY TRIAL WAIVER.

37.1 Application

This Arbitration Agreement only applies to you if your country of residence or establishment is the United States. If your country of residence or establishment is not the United States, and you nevertheless attempt to bring any legal claim against roomsHatch in the United States, this Arbitration Agreement will apply for determination of the threshold issue of whether this Section 37 applies to you, and all other threshold determinations, including residency, arbitrability, venue, and applicable law.

37.2 Pre-Arbitration Dispute Resolution

At least 30 days prior to initiating an arbitration, you and roomsHatch each agree to send the other party an individualized notice of the dispute in writing (“Pre-Dispute Notice”) and attempt in good faith to negotiate an informal resolution. You must send your Pre-Dispute Notice to roomsHatch by mailing it to DownFare, Inc., Attn: Legal Department, at our registered address. roomsHatch will send its Pre-Dispute Notice to the email address associated with your account. A Pre-Dispute Notice must include: the date, your name, mailing address, your roomsHatch username, the email address you used to set up your account, your signature, a brief description of the dispute, and the relief sought. A claimant’s Pre-Dispute Notice requirement is a prerequisite to any arbitration, and a copy of the Pre-Dispute Notice and evidence that it was sent must be attached to any arbitration demand.

37.3 Agreement to Arbitrate; Delegation

You and roomsHatch mutually agree that any dispute, claim, or controversy arising out of or relating to these Terms or the applicability, breach, termination, validity, enforcement, or interpretation thereof, or any use of the roomsHatch Platform, Host Services, or any Content (collectively, “Disputes”) will be settled by binding arbitration on an individual basis (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to a Dispute, you and roomsHatch agree that an arbitrator will decide that issue.

37.4 Exceptions to Arbitration

The following are exceptions to the Arbitration Agreement and will be brought in a judicial proceeding in a court of competent jurisdiction: (i) claims alleging actual or threatened infringement of intellectual property rights; (ii) claims seeking emergency injunctive relief based on exigent circumstances; (iii) requests for the remedy of public injunctive relief; (iv) claims for vexatious litigation; or (v) individual claims of sexual assault or sexual harassment arising from your use of the roomsHatch Platform.

37.5 Arbitration Forum & Governing Law

This Arbitration Agreement evidences a transaction in interstate commerce and the Federal Arbitration Act governs all substantive and procedural interpretation and enforcement of this Arbitration Agreement. The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the AAA’s Consumer Arbitration Rules then in effect (the “AAA Rules”), except as modified here. The AAA Rules are available at www.adr.org. If the AAA cannot administer the arbitration, the parties shall confer and select an alternative arbitral forum.

37.6 Arbitration Hearing & Location

Any required arbitration hearing where the amount in controversy does not exceed USD $1,000,000 shall be conducted remotely via video conference except as otherwise agreed or instructed by the arbitrator. Any required hearing where the amount exceeds USD $1,000,000 shall be conducted in New York County unless otherwise agreed. If the amount in controversy is USD $50,000 or less, the parties agree to proceed solely on the submission of documents to the arbitrator.

37.7 Arbitration Fees & Costs

Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA’s Consumer Arbitration Rules. If you have a gross monthly income of less than 300% of the federal poverty guidelines, you are entitled to a waiver of arbitration fees and costs, exclusive of arbitrator fees. You may request a fee waiver by providing the arbitration provider with a declaration under oath. roomsHatch will reimburse filing, administration, and arbitrator fees for claims totaling less than USD $10,000 unless the arbitrator determines the claims are frivolous.

37.8 Improper Claims

Either party may request that the arbitrator impose sanctions upon proving that the other party has asserted a claim or defense that is groundless in fact or law, brought in bad faith or for the purpose of harassment, or is otherwise frivolous. The arbitrator shall impose sanctions equal to the requesting party’s reasonable attorneys’ fees and costs upon such a finding.

37.9 Arbitrator’s Decision

The arbitrator will issue a written decision which shall include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award any relief allowed by law or the AAA Rules, but declaratory or injunctive relief may be awarded only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim.

37.10 Jury Trial Waiver

YOU AND ROOMSHATCH ACKNOWLEDGE AND AGREE THAT BOTH PARTIES ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AS TO ALL ARBITRABLE DISPUTES.

37.11 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ROOMSHATCH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE OR CONSOLIDATED PROCEEDING. UNLESS WE AGREE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PARTY’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF ANY CLASS OR REPRESENTATIVE PROCEEDING.

37.12 Mass Action Waiver

You and roomsHatch agree to waive the right to have any Dispute administered, arbitrated, or resolved as part of a Mass Action. A “Mass Action” means 100 or more arbitration claims filed within 180 days which (1) involve the same or similarly situated parties; (2) are based on the same or similar claims which arise from the same or substantially identical transactions, incidents, alleged violations, or events; and (3) involve the same or coordinated counsel. In case of a dispute, the appointed arbitrator for the first matter shall decide whether claims are part of a Mass Action. Nothing prevents participation in a mass settlement of claims.

37.13 Mass Action Batching

If, notwithstanding Section 37.12, an arbitration proceeds as part of a Mass Action, the parties shall group the demands into batches of no more than 200, determined alphabetically. One arbitrator shall be appointed per batch and shall resolve each batch as a single consolidated arbitration. Each batch shall be resolved within 240 days of the pre-hearing conference. If any claimant’s demand has not been the subject of a pre-hearing conference within 2 years, such claimant may elect to pursue the claims in court.

37.14 Offer of Judgment

At least 10 days before the arbitration hearing, either party may serve a written offer of judgment on specified terms. If the offer is accepted, it shall be submitted to the arbitration provider, who shall issue an award accordingly. If not accepted prior to the hearing or within 30 days, it shall be deemed withdrawn and cannot be given as evidence except with respect to costs. If an offer is not accepted and the other party fails to obtain a more favorable award, the other party shall not recover post-offer costs and shall pay the offering party’s costs from the time of the offer.

37.15 Severability

If any portion of this Arbitration Agreement is deemed illegal or unenforceable, such provision will be severed and the remainder will be given full force and effect.

37.16 Amendment Opt-Out

If roomsHatch amends this Section 37 after the date you last accepted these Terms, you may reject the change by sending written notice no later than 30 days of the date the change is effective. Your notice must include your name, mailing address, the date, your roomsHatch username, the email address associated with your account, your signature, and an unequivocal statement that you want to opt out of the amended Section 37. Rejecting a new change does not revoke your prior consent to any earlier arbitration agreements.

37.17 Survival

This Section 37 will survive any termination of these Terms and will continue to apply even if you stop using the roomsHatch Platform or terminate your account.

38. Canada Class Action Waiver

If you reside in Canada, to the fullest extent permitted by applicable law, you and roomsHatch are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, or any other representative or consolidated proceeding, unless otherwise prohibited by law.

39. Miscellaneous

39.1 Interpreting These Terms

Except as they may be supplemented by additional terms, conditions, policies, guidelines, standards, and in-product disclosures, these Terms (including those items incorporated by reference) constitute the entire agreement between roomsHatch and you pertaining to your access to or use of the roomsHatch Platform and supersede any and all prior oral or written understandings or agreements between roomsHatch and you. These Terms do not and are not intended to confer any rights or remedies upon anyone other than you and roomsHatch. If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions. Where the word “will” is used in these Terms it connotes an obligation with the same meaning as “shall.”

39.2 No Waiver

roomsHatch’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.

39.3 Assignment

You may not assign, transfer, or delegate this agreement or your rights and obligations hereunder without roomsHatch’s prior written consent. roomsHatch may without restriction assign, transfer, or delegate this agreement and any rights and obligations hereunder, at its sole discretion, with 30 days’ prior notice.

39.4 Severability

If any provision of these Terms is held invalid or unenforceable, such provision will be struck and the remaining provisions will remain in full force and effect.

39.5 Notice

Unless specified otherwise, any notices or other communications to Members permitted or required under this agreement will be provided electronically and given by roomsHatch via email, roomsHatch Platform notification, messaging service (including SMS), or any other contact method we enable and you provide.

39.6 Third-Party Services

The roomsHatch Platform may contain links to third-party websites, applications, services, or resources (“Third-Party Services”) that are subject to different terms and privacy practices. roomsHatch is not responsible or liable for any aspect of such Third-Party Services and links to such Third-Party Services are not an endorsement.

39.7 Google Terms

Some translations on the roomsHatch Platform may be powered by Google. Google disclaims all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties for merchantability, fitness for a particular purpose, and non-infringement. Some areas of the roomsHatch Platform implement Google Maps/Earth mapping services, including Google Maps API(s). Your use of Google Maps/Earth is subject to the Google Maps/Google Earth Additional Terms of Service.

39.8 Apple Terms

If you access or download our application from the Apple App Store, you agree to Apple’s Licensed Application End User License Agreement.

39.9 Force Majeure

roomsHatch shall not be liable for any delay or failure to perform resulting from abnormal or unforeseeable circumstances outside its reasonable control, the consequences of which would have been unavoidable despite all efforts to the contrary, including, but not limited to, acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor, or materials. For the avoidance of doubt, this Section does not apply to a Reservation, which is subject to the Host’s cancellation policy and the Major Disruptive Events Policy; nor does it operate to extend deadlines applicable to a Resolution Center Request, a Host Damage Protection claim, a Reservation Issue under the Rebooking and Refund Policy, or other requests, claims, or reporting under similar policies incorporated by reference into these Terms.

39.10 Inactive Listings

If a Listing has been inactive for 120 or more days, roomsHatch may remove it from the Platform. roomsHatch will provide notice before removal where practicable.

39.11 Emails, SMS & Electronic Communications

You will receive administrative communications from us using the email address or other contact information you provide for your roomsHatch account. Enrollment in additional email subscription programs will not affect the frequency of these administrative emails, though you should expect to receive additional emails specific to the program(s) to which you have subscribed. You may also receive promotional emails from us. No fee is charged for these promotional emails, but third-party data rates could apply. You can control whether you receive promotional emails using the notification preferences in your account settings. Please note that you will not be able to take advantage of certain promotions if you disable certain communication settings or do not have a roomsHatch account. If you consent to receive SMS (text messages) from us, standard messaging rates may apply.

39.12 Survival

Parts of these Terms that by their nature survive termination will survive termination of this agreement. Without limitation, the following provisions survive: Sections relating to content licenses (Section 15), fees (Section 16), indemnification (Section 35), limitation of liability (Section 34), dispute resolution (Section 37), and any other provisions that by their nature should survive.
